Effective Date: September 18, 2026 | Last Updated: September 18, 2026 | Entity: Maxfield Staffing LLC, a Georgia limited liability company
These Terms constitute a legally binding agreement between you (“User,” “Applicant,” or “Facility,” as applicable) and Maxfield Staffing LLC (“Company,” “we,” “us,” or “our”), a Georgia limited liability company. These Terms govern your access to and use of the website located at maxfieldstaffing.com (the “Site”) and any related staffing, placement, or workforce services offered by the Company (collectively, the “Services”).
You represent that you are at least 18 years of age, legally authorized to work in the United States, and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
Maxfield Staffing LLC is a healthcare staffing agency that connects credentialed healthcare professionals, including Certified Nursing Assistants (CNAs), Licensed Practical Nurses (LPNs), and personal care aides, with licensed senior living, skilled nursing, and rehabilitation facilities located in Georgia (collectively, “Client Facilities”).
The Company acts as the employer of record for placed professionals for payroll, tax withholding, and workers' compensation purposes, unless otherwise expressly agreed in writing. Nothing in these Terms or any placement arrangement creates an employment relationship between a placed professional and any Client Facility, except where a direct hire arrangement has been separately negotiated and documented.
The Company does not guarantee placement, does not guarantee the number of shifts or assignments available, and does not guarantee continuous or uninterrupted employment to any individual professional.
By submitting an application or otherwise engaging with the Company's staffing services, you represent, warrant, and agree that:
By engaging with our Services, you acknowledge and agree that the Company may, as permitted by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) and applicable state law, obtain consumer reports including criminal background checks, employment verification, and professional license verification from authorized third-party screening providers. A separate written authorization will be obtained prior to obtaining any consumer report. If adverse action is taken based in whole or in part on information contained in a consumer report, you will be notified as required by the FCRA and provided with the information required by law.
Client Facilities engaging Maxfield Staffing for placement services agree, through a separate service agreement or by acceptance of placed staff, that:
All content on the Site, including text, graphics, logos, images, button icons, data compilations, and software, is the property of Maxfield Staffing LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from this Site without our prior written permission.
The Maxfield Staffing name, logo (including the gold hummingbird mark), and all related marks are trademarks or service marks of Maxfield Staffing LLC. Nothing in these Terms grants any right to use any trademark, trade name, or trade dress of the Company.
THE SITE AND ALL INFORMATION, CONTENT, AND SERVICES PROVIDED THROUGH OR IN CONNECTION WITH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION ON THE SITE. YOUR USE OF THE SITE AND RELIANCE ON ANY INFORMATION THEREON IS ENTIRELY AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAXFIELD STAFFING LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
You agree to defend, indemnify, and hold harmless Maxfield Staffing LLC and its members, managers, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) any inaccuracy or misrepresentation in any information you submit; (d) your violation of any applicable law or regulation; or (e) any claim by a third party arising from your conduct during a placement assignment.
Unless expressly agreed otherwise in a separate written employment agreement, healthcare professionals placed through Maxfield Staffing may, depending on the structure of their engagement, be classified as employees of the Company for payroll and tax purposes. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the Company and any Client Facility. The Company retains the right to determine the terms and conditions of employment for any professional it employs, subject to applicable law.
The Company makes no guarantee that any applicant will receive a placement offer, that any placement will result in continued or ongoing work, or that any Client Facility will be satisfied with any particular professional. Placement decisions involve numerous factors, many of which are outside the Company's control. The Company's obligation is to make reasonable, good-faith efforts to match qualified professionals with available assignments.
In the course of engaging with the Company's Services, you may receive information that is proprietary or confidential, including information about candidate profiles, facility client relationships, placement pricing, internal systems, and operational processes. You agree to keep such information strictly confidential and not to disclose it to any third party without the Company's prior written consent. This obligation survives termination of any placement or business relationship with the Company.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, with the arbitration to be conducted in Cherokee County or Cobb County, Georgia. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, including to enforce intellectual property rights or confidentiality obligations.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Company's Privacy Policy and any separate written service or placement agreement between the parties, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted to this page with a revised Effective Date. Your continued use of the Site or Services after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must immediately discontinue use of the Site and Services.
